Terms of service

In short. Tuskit is software for businesses. The trial is 14 days with no card. Paid plans are paid against a GST invoice by UPI or bank transfer, never by automatic debit. Your data stays yours and you can export it. We do not file your GST returns and we are not your accountant. The numbered sections below are the full terms.

1. Who we are

In these terms, “we”, “us” and “Tuskit” mean the business that provides the Tuskit service at https://tuskit.app. “You” means the business that signs up, and the people who use Tuskit for it.

2. Accepting these terms

Tuskit is for businesses, not for personal or household use. By creating an account, starting a trial or using the service, you agree to these terms on behalf of your business. You confirm that you are at least 18 years old and are authorised to bind the business, for example as its owner, partner or director, or because it has authorised you. If you do not agree, do not use the service.

You are responsible for everything done under your account, including by your staff. Keep sign-in details safe, remove people who leave, and tell us promptly if you suspect misuse.

3. The service

Tuskit helps shops that take orders manage orders, staff work, payments, invoices and books, on the web and on Android. What your shop can use depends on the business type and plan it chooses. Tuskit is under active development: we may add, change or retire features, and we will give reasonable notice if a change removes something you depend on.

Tuskit Link. A Link is a secure page for one order that you choose to send to your customer. You decide who receives it and what it shows.

Tuskit Agent. Agent is coming soon and is not available today. Anything on our website about it describes what we intend to build, not a promise. We give no date and may change or drop it. When it is released, it drafts for you to approve; you stay responsible for what you approve and send. We may ask you to accept extra terms first, and we will update our privacy policy to cover it.

The business data you put into Tuskit, such as customers, suppliers, orders, invoices, payments and ledgers, belongs to your business. We do not claim ownership of it. You give us permission to store, copy, process and display it, and only to provide, secure and support the service for you, to comply with law, and as our privacy policy describes. We may also use technical data about how the service performs, such as errors and speed, but not your business content, to keep it secure and working.

You can export your data at any time, including the ledger, GST workings and reports, and a backup of your customers, orders and payments. Keep your own copies too. The law may require your business to keep records for years.

Where your data includes personal data of your customers, suppliers or staff, you decide why and how it is used, and you must have the right to put it into Tuskit. For the purposes of the Digital Personal Data Protection Act, 2023, your business is the Data Fiduciary for that data and we process it on your behalf, on your instructions.

7. Customer links and messages to your customers

Links and messages are created on your instruction. You are responsible for who receives them, what they say and when they are sent. We keep Links unguessable, limited to one order and revocable, and a customer confirms with a one-time code. Anyone who holds the Link and the code can see that order, so send it only to the right person.

You must have the right to contact each customer. Follow the Digital Personal Data Protection Act, 2023, the TRAI rules for commercial messages including DLT registration of sender names and templates for SMS, and the policies of any messaging service you use, such as WhatsApp. Tuskit does not assume consent from a phone number or an email address: reminders are sent only on channels where you have recorded the customer’s consent, and only for matters such as an order or a payment. Record consent truthfully, and stop contacting a customer who opts out. Do not use Tuskit to send unsolicited promotional messages.

9. What Tuskit does not do

We prepare GST workings and e-invoice and e-way bill data. We do not file returns, we do not issue IRNs, and we do not submit anything to a government portal for you. We are not your accountant, tax adviser or lawyer. Every GST, e-invoice, e-way bill, tax and financial output is a working paper built from what you entered. You or your accountant must check it before you rely on it, file it or submit it. Compliance remains your responsibility.

Tuskit is not a bank. It does not receive, hold or transfer your money. It records and shows payments, and UPI payments go directly to the account you set up. WhatsApp, UPI apps, banks, SMS carriers and government portals are outside our control.

10. Intellectual property

The service, including its software, design, name and logo, belongs to us or our licensors. While you have a trial or paid subscription, we give you a limited, non-exclusive, non-transferable right to use it for your own business. Nothing else is transferred. If you send us suggestions, we may use them freely. Your data stays yours, as section 6 says.

11. Confidentiality

Each of us will keep the other’s non-public information confidential, use it only for this agreement, and protect it with reasonable care. This does not cover information that is public through no fault of yours, was already known to you, or was developed independently, and it does not stop disclosure the law or a court requires, where we may tell you first if the law permits. This lasts while you use the service and for three years after.

12. Disclaimers and limit of liability

We aim for reliable service, but the service is provided “as is” and “as available”. We do not promise that it will be uninterrupted or error-free, that no data will be lost, or that its outputs are right for your tax or compliance filings. To the fullest extent the law allows, we give no other warranties.

To the fullest extent the law allows: (a) our total liability for all claims arising from the service is limited to the fees you paid us in the 12 months before the event that led to the claim; and (b) we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data. Nothing in these terms limits liability for fraud or wilful misconduct, or any liability that the law does not allow to be limited.

13. Indemnity

You will defend us and cover our losses and reasonable costs from any third-party claim arising from the data or content you put into Tuskit, the messages you send or ask us to send, your breach of these terms, or your breach of law. We will tell you promptly, let you run the defence, and cooperate at your cost. You may not settle a claim in a way that puts an obligation on us without our consent.

14. Suspension, termination and your data afterwards

You can stop at any time (section 5). We may suspend or end your access if you break these terms, if the law or an authority requires it, if needed to protect the security of the service or other users, or for non-payment as section 4 describes. We will give notice where practical.

After your access ends, or your trial ends without a plan, we keep your data for 30 days so you can export it. Ask us in that time if you need longer. After that we delete or anonymise your business data, except what the law requires us to keep and what remains in backups until they age out, as our privacy policy explains. Sections that by nature should continue after the agreement ends, such as 5, 6, 10 to 13 and 17 to 19, do.

15. Events beyond our control

Neither of us is liable for delay or failure caused by events beyond reasonable control, such as natural disaster, power, internet or telecom failure, outage of a hosting or cloud provider, strike, epidemic, war, government action or a cyber-attack that reasonable care would not have prevented. This does not excuse paying for service already provided.

16. Changes to these terms

We may update these terms. We will post the new version with its date and, for a material change, email the account owner at least 30 days before it applies to you, unless the law or security requires sooner. If you keep using the service after that date, you accept the change. If you do not accept it, you can cancel under section 5.

17. Notices

We will send notices to the email address on your account. You can send notices to nelson@tuskit.app. Keep your email address up to date. A notice by email is received when it is sent, unless the sender is told it was not delivered.

18. Electronic record, and general terms

These terms are an electronic record under the Information Technology Act, 2000 and the rules under it, generated by a computer system, and need no physical or digital signature. Creating an account, starting a trial or using the service is your agreement, and a valid electronic contract. Where we act as an intermediary for content you store, we follow the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and our grievance contact is in the privacy policy.

These terms and our privacy policy are the whole agreement between us about the service. If a part is found unenforceable, the rest continues. If we do not enforce a right straight away, we have not given it up. You may not transfer your rights without our written consent; we may transfer ours to a successor of our business.

19. Governing law and disputes

These terms are governed by the laws of India. If there is a dispute, write to nelson@tuskit.app with the details and we will both try in good faith to settle it within 30 days. If that fails, the courts in India that have jurisdiction may hear it.
